Overview

Gary advises on a broad range of corporate transactions, including mergers and acquisitions, venture capital and private equity financings, commercial agreements, and general corporate matters. His practice centers on leading domestic and cross-border M&A, where he counsels clients on acquisition and divestiture strategy, deal structuring, and post-closing integration. He also represents early-stage companies from formation through multiple rounds of venture financing and advises on ongoing corporate governance and regulatory compliance matters.

Gary’s clients span a wide range of emerging industries, including software, fintech and mobile commerce, and advertising and marketing technology. He has also advised clients in media, content development and publishing, hospitality, e-commerce, electronics and hardware, semiconductor design, clean energy generation and storage and real estate development.

Gary focuses his practice on advising emerging growth and middle-market companies, and maintains a broad corporate practice involving entity formation, restructuring, joint ventures, asset sales and general corporate governance. Gary also has extensive experience advising clients on cross-border transactions. Before joining Procopio, he served as in-house counsel and held executive leadership roles at investment banking firms, venture capital funds, and multinational corporations across North America, China, and Taiwan.
