Congratulations to medical therapeutic company and Procopio client Aethlon Medical, Inc. (Nasdaq: AEMD) on entering into a definitive merger agreement with North Immunology, a biotechnology company developing new treatments for immune and inflammatory diseases.

Following the merger, the combined company will operate as North Immunology and focus on advancing NOR-101, an experimental treatment for atopic dermatitis designed to address two different inflammatory pathways associated with the disease. A concurrent $180-million private financing is expected to fund the combined company’s operations into the second half of 2028, including planned clinical trials of NOR-101 beginning in 2027. The combined company is expected to trade on Nasdaq under the ticker NRTX.

Procopio served as legal counsel to Aethlon in the transaction. The Procopio team was led by Managing Partner Dennis Doucette, with Partner Trent Andrews, Senior Counsel Jennifer Trowbridge, and Associate Kelsey Tidgewell.

“We believe Aethlon stockholders will have a compelling opportunity to participate in the development of North Immunology’s pipeline through their ownership interest in the combined company, while also retaining the potential to realize value from Aethlon’s legacy assets through the contingent value rights,” said James Frakes, Chief Executive Officer of Aethlon.

Aethlon shareholders are expected to own approximately 4.75% of the combined company following the transaction, subject to adjustment as provided in the merger agreement. They also will receive rights to potential future proceeds from a sale, license or other transaction, if any, involving Aethlon’s existing Hemopurifier® business. The merger has been approved by both companies’ boards and is expected to close in the first quarter of 2027, subject to shareholder approval and other customary closing conditions.
