Ruba focuses on capital markets and securities, with an emphasis on securities transactions, disclosure requirements, regulatory compliance and corporate governance. She co-leads Procopio’s Capital Markets and Securities practice.
She has extensive experience as lead securities counsel for public companies and intermediaries and is adept at dealing with the U.S. Securities and Exchange Commission (SEC), FINRA, Nasdaq and NYSE. Her services include IPOs, direct listings, follow-on public offerings, Rights Offerings, CMPOs, registered directs, SPACs, deSPACS, convertible equity offerings, debt financing, RTOs, and PIPEs. Ruba handles ‘34 Act reporting and advises regarding corporate governance, equity compensation plans and stockholder communications. Ruba has successfully defended against proxy contests and manages shareholder activism. She also counsels companies regarding compliance plans for maintaining stock exchange listings, up listing, and moving listings.
Ruba also regularly advises public and private companies with regard to private offerings, acquisitions, spin-offs and joint ventures. She negotiates and drafts a full range of business and operations agreements.
