Mr. O’Neill’s practice emphasizes business transactions, corporate/venture formations, mergers and acquisitions, private equity offerings, financing, equity compensation, corporate governance, nonprofit organizations, and commercial leasing. His clients include manufacturers, distributors, retailers, medical device and technology companies, surgery and urgent care centers, investment advisory firms, e-commerce businesses, nonprofit corporations, and service businesses.

- Represented selling shareholders of Southwestern United States property management company to Texas-based company.
- Represented regional construction company in sale of a substantial portion of its assets to an East Coast construction company.
- Represented the owners of a San Diego County surgery center in a restructuring of the center with the addition of third-party investment.
- Represented selling shareholders of D3 Technologies, Inc. in acquisition by LMI Aerospace, Inc. (NASDAQ) for $65 million.
- Represented a San Diego medical device company in its acquisition by a Midwest health care company for $25 million plus a percentage of post-closing revenues.
- Represented Kinetikos Medical, Inc., a medical device company, in its acquisition by Integra LifeSciences Holdings Corporation (NASDAQ) for approximately $40 million plus future payments based on performance of the company after acquisition.
- Represented the principal and management shareholders in the sale of stock of a bio-research firm with multi-state facilities to a public company for a potential performance-based purchase price/compensation package of $39 million.
John C. O’Neill received his undergraduate degree from Dartmouth College in 1975. In 1979, he graduated from the University of San Diego School of Law, magna cum laude. Mr. O’Neill went on to obtain a masters of law in taxation, with honors, from the University of San Diego in 1989.
Mr. O’Neill is the past chair of the board of directors and a current member of the Executive Committee of the San Diego County Taxpayers Association, and is a member and past chair of the board of the San Diego Downtown YMCA. He is legal counsel to a number of nonprofit organizations including the San Diego Humane Society and S.P.C.A. In 2010, Mr. O’Neill was appointed by the Mayor of San Diego to serve as a commissioner on the City of San Diego Ethics Commission. His professional affiliations include membership in the American Bar Association Business and Taxation sections, the State Bar of California Business, International and Taxation sections, and the San Diego County Bar Association. He is an AV rated attorney by Martindale-Hubbell.
