Venture Capital Financing 101: Getting a Meeting, Landing a Term Sheet, and Having the Knowledge to Effectively Negotiate Market Terms in a Tough Economic Environment in partnership with the San Diego Software Industry Council.
The first round of venture financing is often the most important because it sets the stage for future rounds. It is therefore crucial for an entrepreneur to have a basic understanding of a term sheet, and the most important provisions that can and will ultimately affect who controls the company, and the founders’ upside on an exit. However, you first have to get a meeting with an investor. Who and how you approach investors, and the materials you provide, will often affect the chances of a call back and/or meeting, and what you do in that meeting is crucial to landing a term sheet. Hear how a serial entrepreneur raised over $60MM for his prior company, and the “do’s and don'ts” in getting the right investor on the right terms.
Participants will leave with an understanding of how to maximize their chances of getting a meeting with the right investors, what their company will have to look like to attract venture funding, the questions to ask in choosing the right venture capitalist, and a practical take-away knowledge of all the key terms, nuances and provisions of a preferred stock term sheet, so that they are better able to effectively attract capital and negotiate a round of financing on the best terms possible, and the pitfalls to avoid based on first hand experience of a seasoned CEO.
Program
First,
Roger Rappoport will provide an in-depth discussion on what makes up a term sheet, including:
- understanding the structure of, and the provisions that will most likely be included in, a venture financing term sheet
- how to arrive at a realistic pre-money valuation
- the economic impact of certain terms on existing shareholders
- the provisions that affect the degree to which current founders and management will have to relinquish control of major and/or day-to-day decision making
- the most recent trends relating to liquidation preferences, participation rights, anti-dilution provisions, pay-to-play provisions, redemption rights, registration rights, rights of first refusal and co-sale rights, and more
Second, David Kaplan and Brant Cooper will share a proven formula to develop and deliver an investor presentation and guide entrepreneurs through the process of creating their own. During this Session, you will learn:
- what to include and not include in your presentation
- how to develop your message
- how to make your pitch
Third, Bruce Moeller, former CEO of DriveCam, will share his experiences, of what to do and what not to do when raising capital, and lessons learned from the trenches.

Speakers:
Roger Rappoport is a partner with the law firm of Procopio, Cory, Hargreaves and Savitch in San Diego, and leader of the Emerging Growth & Technology practice group within the firm. Mr. Rappoport has extensive experience counseling start-up and emerging growth companies in the information technology, telecommunications, life sciences and cleantech industries. He also represents high net worth individuals, angel and venture capital investors who focus on investing in companies in these industries.
David Kaplan is the founder of Xlerate Solutions, a San Diego based strategic consulting firm, and the CEO of StitchStream Inc., a provider of interactive video solutions. Mr. Kaplan has been involved with nine startup companies: four of which were venture backed, three were acquired, and one went public.
Brant Cooper is a Principal Partner at Xlerate Solutions. Mr. Cooper possesses over 17 years of success bringing new products to the IT and carrier markets, directing the design, launch, and evangelism for key technology offerings by leveraging expertise in technology, marketing, and business development.
Bruce Moeller is the former CEO of DriveCam, a three time Inc. 500 winner, twice venture backed and the author of two behavioral books, "OH Behave!" and just released this past April, " Driving Me Crazy!". He was a past E&Y Entrepreneur of the Year and also a judge for the same event the following year.
