William C. Belanger

Mr. Belanger’s practice emphasizes mergers and acquisitions for both public and private companies, including international transactions, corporate and securities, and technology licensing. Mr. Belanger’s practice includes advising clients on negotiation points and strategies, transaction terms and issues, deal structuring, finance and investment, technology protection and commercialization, licensing, corporate governance, corporate partnering and joint ventures. Mr. Belanger also advises nonprofit foundations on business and corporate matters and volunteers his time for non-profit causes.

• Represented public Singapore company in connection with its acquisition of target public company international assets, including intellectual property assets, out of bankruptcy
• Represents multinational electric motorcycle company in numerous corporate, commercial, licensing and transactional matters
• Represented private technology company in sale and partnering venture with public investment bank, involving offices in the United States, United Kingdom, Singapore, Malaysia, and Thailand
• Represented private software company in merger with NASDAQ-listed corporation
• Represented Mexican federal financial institution in multimillion dollar sale of affiliated California corporation
• Represented public, Singapore company in its acquisition of tangible and intellectual property assets, including numerous international patents and trademarks, from public Delaware corporation
• Represented Canadian software company in its acquisition of intellectual property assets, including software, copyrights and international trademarks, from California corporation and New Zealand corporation
• Represented public company in numerous stock and asset acquisitions
• Represented public and private companies in numerous licensing and commercial transactions
• Assisted privately-held medical corporation with merger into NYSE-listed corporation

Mr. Belanger (J.D., M.B.A.) received a Bachelor of Science in Business Administration (summa cum laude) in 1988 from California Polytechnic State University, San Luis Obispo. In 1993, he received a Juris Doctor (magna cum laude) from Loyola Law School of Los Angeles. In 1999, Mr. Belanger completed a Master of Business Administration degree at California Polytechnic State University, San Luis Obispo, where he ranked number one in his class. He was admitted to practice in California in 1994.

Mr. Belanger is a past Co-Chair of the Entrepreneur’s Venture Forum of the San Diego Software and Internet Council and the North County Bar Association, Business Law Section. He currently serves as a volunteer and member of the Board of Advisors of the Blue Ryno Foundation.
