Sharon Madere represents both U.S. and non-U.S. private equity fund managers in the formation and operation of private equity and investment funds, including those investing in real estate. Ms. Madere also represents investors and parties to joint venture transactions (including those structured through limited liability companies and partnerships). Her practice includes the structuring, restructuring, formation and negotiation of investment funds, joint ventures and strategic alliances formed for business operations, development, investment and other purposes. Although Ms. Madere has represented clients in a variety of corporate and business transactions, she has a particular focus on private equity or other investment fund, strategic partnering and joint venture transactions. Ms. Madere’s cross-border dealings have included transactions in Europe, Asia and Latin America.
Ms. Madere also has experience with mergers and acquisitions, corporate restructurings and general corporate representation. She represents clients in various industries, including real estate, renewable energy, venture capital, biotechnology, entertainment and internet companies.
Prior to joining Procopio, Ms. Madere was an associate in the Los Angeles and San Diego offices of Latham & Watkins LLP.

Ms. Madere has extensive experience with investment fund structuring and formation, strategic joint ventures, mergers and acquisitions and general corporate transactions, in each case ranging in value from a few million dollars to over a billion dollars.
Representative investment fund structuring and formation transactions:
- Representation of private equity fund sponsors in connection with the formation and structuring of distressed real property and related assets.
- Representation of various real estate owners, sponsors and developers in structuring and negotiating investment vehicles and joint ventures for the ownership and operation of commercial, residential, office, campus and industrial real properties.
- Representation of other private equity and hedge fund sponsors in connection with the formation and structuring of investment vehicles in various other industries, including senior-living communities, technology, biotechnology, health care and securities.
- Representation of two private equity funds in connection with the formation and structuring of an investment vehicle for their joint acquisition of certain assets of a semiconductor company.
- Representation of private equity fund sponsors and private investors in connection with the acquisition and restructuring of investments in domestic and foreign portfolio companies and internal corporate structuring and organizational matters.
Representative strategic joint venture transactions:
- Representation of a NYSE-listed real estate investment trust in connection with two separate joint ventures for purposes of acquiring, owning and operating real estate portfolios in the healthcare industry valued at over $140 million and $240 million, respectively.
- Representation of a NYSE-listed real estate investment trust in connection with a joint venture for the development, management and operation of self-storage facilities in Mexico.
- Representation of a NYSE-listed real estate investment trust in connection with its up to $200 million joint venture for the development of real estate properties in Mexico.
- Representation of various renewable energy companies in connection with their joint ventures with domestic and foreign investors to identify, develop and develop renewable energy and/or cogeneration facilities.
- Representation of a real estate developer connection with its joint venture to develop and construct urban housing in Southern California.
- Representation of a NYSE-listed company in connection with two separate joint ventures for the purposes of operating a managed service organization and hospice programs.
Representative merger and acquisition transactions:
- Representation of a private investor and a consortium of private equity fund investors in connection with the acquisition of a controlling interest in the largest private television network in Germany, having a transaction value of approximately €3.1 billion.
- Representation of a San Diego-based publicly traded technology company in acquiring another technology company in the same space.
- Representation of a San Francisco-based private equity fund in connection with its investment in a developer, distributor and marketer of condition-specific lifestyle nutraceutical products.
- Representation of an Orange County-based Nasdaq-listed cancer diagnostics company in connection with the divestiture of certain of its business operations.
- Representation of various other private equity funds and other private investors in acquiring domestic and foreign portfolio companies in different industries, including airline, internet, retail, luxury items and entertainment.
Representative general corporate transactions:
- Representation of a registered investment adviser with over $7 billion under management, in connection with certain internal restructuring matters as well as with preparation of its internal fund documentation.
- Representation of Japan’s largest cable television company in connection with its dual-listing initial public offering in the U.S. and Japan that raised over $990 million.
Ms. Madere received her B.A. from the University of California, Los Angeles in 1996 and graduated from the University of California, Los Angeles School of Law in 1999.
