Matthew D. Short

Matthew D. Short is a member of the firm's Business and Technology Team. His practice focuses on the representation of companies in their formation and organization, venture capital financings, mergers and acquisitions, partnerships and limited liability companies, and other general corporate and securities law matters. He also has extensive experience designing and implementing executive and equity-based compensation arrangements for private and public companies.

Representative Matters

• Represented private and public companies in taxable and non-taxable mergers and acquisitions and venture capital financing transactions.
• Represented numerous start-up technology companies in their formation and provided guidance on the use of limited liability companies, partnerships and S corporations.
• Advised numerous public and privately-held companies with the design and implementation of equity compensation plans and compliance with the related tax and securities laws.
• Counseled clients on corporate governance matters and issues arising under State and Federal securities laws.

Mr. Short received his Bachelor of Arts degree in English from the University of Arizona and his law degree from the Northwestern School of Law of Lewis and Clark College, where he was the Notes and Comments Editor for the Journal of Small and Emerging Business Law. Mr. Short received an LL.M. in taxation, with distinction, from the Georgetown University Law Center.

Mr. Short currently serves on the Board of Directors of the San Diego Chapter of the National Association of Stock Plan Professionals. His other professional affiliations include membership in the San Diego Venture Group, the State Bar of California and the business and taxation sections of the San Diego Bar Association.

Mr. Short has lectured and written articles discussing legal issues for emerging growth companies, executive compensation matters, and securities issues.
